1. About these Terms
These Terms of Service (“Terms”) govern your use of the website https://lineup.agency (the “Site”) and your engagement of digital marketing services from LineUp spółka z ograniczoną odpowiedzialnością (“LineUp”, “we”, “us”), registered in Poland at al. Marcina Kromera 51A, 51-164 Wrocław, KRS 0001198888, NIP 8952294421, REGON 542950377. By browsing the Site or engaging our services, you agree to these Terms.
2. Our services
LineUp provides digital marketing services, which may include SEO, PPC/paid media, social media management, content marketing, email marketing, link building, and web design & development, as described on the Site. The Site itself is informational and promotional; it does not constitute a binding offer for any specific service.
3. Engaging our services
Paid engagements are governed by a separate, individually signed agreement between LineUp and the client, which sets out the specific scope of work, deliverables, timeline, fees and payment schedule. Where anything in a signed client agreement conflicts with these Terms, the signed agreement takes priority for that engagement.
4. Payment
Fees, invoicing schedule and payment method are set out in each client’s individual agreement and invoices, issued in accordance with Polish tax law. Unless otherwise agreed in writing, invoices are payable by bank transfer within the term stated on the invoice. Late payment may result in suspension of services until the outstanding balance is settled.
5. Acceptable use of the Site
You agree not to: use the Site for any unlawful purpose; attempt to gain unauthorised access to the Site, our systems, or any account; scrape, copy or republish substantial portions of Site content without permission; or introduce malware, or otherwise interfere with the Site’s normal operation.
6. Intellectual property
All content on the Site — text, graphics, logos, case studies and design — is owned by LineUp or licensed to us, and is protected by copyright and other intellectual property laws. You may not reproduce or reuse it without our prior written consent.
Ownership of deliverables produced for a specific client engagement (e.g. website builds, ad creative, content) is governed by the terms of that client’s individual signed agreement.
7. No guaranteed results
Digital marketing outcomes — including search rankings, traffic, leads, ad performance and conversion rates — depend on many factors outside our control (search engine algorithm changes, market competition, platform policy changes, your own website and offer, etc.). We commit to applying professional skill and effort, but we do not guarantee specific rankings, traffic or revenue outcomes unless expressly stated in a signed client agreement.
8. Limitation of liability
To the maximum extent permitted by Polish law, LineUp’s total liability arising out of or in connection with the Site or a service engagement is limited to the fees actually paid by the client for the specific service giving rise to the claim in the preceding 3 months. We are not liable for indirect, incidental or consequential losses, including loss of profit, revenue, or data, except where such liability cannot be excluded by law.
9. Termination
Termination rights and notice periods for paid engagements are set out in the relevant client agreement. Absent a specific agreement, either party may stop using the Site at any time.
10. Governing law and jurisdiction
These Terms are governed by Polish law. Any dispute arising from these Terms or the use of the Site that cannot be resolved amicably shall be submitted to the competent court having jurisdiction over LineUp’s registered seat in Wrocław, Poland, without prejudice to any mandatory consumer-protection rules that may apply.
11. Changes to these Terms
We may update these Terms from time to time; the current version always applies to use of the Site from the date of publication. Material changes affecting an active client engagement will be communicated directly to the client.
